Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Theraveon Inc. ("Theraveon", "we", "us", "our") and govern your access to and use of our products, website at www.voice-platform.co, APIs, and related software and services, including Voice Platform and Voice Agent (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy.

1. Eligibility and Account Registration

  • You must be legally able to enter into contracts.
  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding account credentials and all activity under your account.
  • You may not share access credentials except as permitted for your internal team use.

2. Use of the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.

2.1 Transactional Text Messaging

If you provide a mobile phone number, enable MFA, or request a workflow that sends a payment link by SMS, you consent to receive transactional text messages from Theraveon Voice Platform at that number. These messages may include one-time security or MFA codes, order payment links requested during a call, service notices, and help or opt-out responses.

  • Message frequency varies based on your use of the Services and requested workflows.
  • Message and data rates may apply.
  • Where supported, reply STOP to opt out of SMS messages and HELP for help.
  • You may also contact Theraveon at support@voice-platform.co for SMS support.
  • Carriers are not liable for delayed or undelivered messages.
  • Transactional SMS messages are not marketing; any promotional or marketing SMS requires separate consent.

You agree not to:

  • Use the Services in violation of law, regulation, or third-party rights.
  • Attempt unauthorized access, interfere with system integrity, or disrupt service operation.
  • Probe, scan, reverse engineer, decompile, or extract source code except where law forbids restriction.
  • Use the Services to distribute malware, spam, deceptive content, or abusive material.
  • Use the Services for high-risk activities where failure could cause serious harm.

3. Your Content and Inputs

You may provide prompts, text, audio, files, metadata, and other content to the Services ("Inputs"), and you may receive responses generated by the Services ("Outputs"). As between you and Theraveon, and to the extent permitted by law, you retain ownership of your Inputs and own your Outputs.

You are responsible for ensuring you have all rights and permissions needed for your Inputs and your use of Outputs.

4. AI Output Limitations

  • Outputs may be incomplete, inaccurate, outdated, or not suitable for your use case.
  • You must evaluate Outputs before relying on them for operational or compliance decisions.
  • Do not treat the Services as legal, financial, medical, or other licensed professional advice.

5. Rights We Need to Operate the Services

You grant Theraveon a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and transmit Inputs and related data solely to provide, secure, maintain, and improve the Services and to comply with legal obligations.

6. Intellectual Property

Theraveon and its licensors retain all rights, title, and interest in the Services, including software, models, systems, marks, and documentation. Except for the limited usage rights in these Terms, no license is granted by implication or otherwise.

Voice Platform and Voice Agent, including their names, branding, software, and related technology, are intellectual property of Theraveon Inc.

7. Fees, Subscriptions, Trial, and Billing

  • Paid access is provided on recurring subscription terms (monthly or yearly) selected at checkout.
  • Plans may include a base subscription fee plus usage-based charges (including included minutes and overage rates), as disclosed at checkout, on pricing pages, or on invoices.
  • Trial offers may be available and may be limited based on account history, business profile, or promotion terms.
  • Unless canceled before trial ends, your subscription converts automatically to paid recurring billing.
  • For trial subscriptions, billing starts at conversion to active paid status (ACTIVE), not at trial start.
  • You can cancel from billing settings; cancellation takes effect at the end of the current paid period.
  • Fees are non-refundable except where required by law or expressly stated in writing by Theraveon.
  • You must provide accurate account and billing information and keep it current.
  • You are responsible for taxes, duties, and similar government charges unless stated otherwise.

8. Third-Party Services

The Services may interoperate with third-party products and providers. Those providers operate under their own terms and privacy policies, and Theraveon is not responsible for third-party services.

9. Beta and Preview Features

We may offer beta, preview, or experimental features. These may be changed or discontinued at any time and may be provided with reduced support, reliability, or availability.

10. Suspension and Termination

  • You may stop using the Services at any time.
  • We may suspend or terminate access if you violate these Terms, create risk to the Services or users, or fail to pay required fees.
  • Upon termination, your right to use the Services ends, but sections that by nature should survive will remain in effect.

11. Service Changes and Availability

We may update, modify, or discontinue all or part of the Services from time to time. We do not guarantee uninterrupted or error-free operation.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Theraveon and its affiliates, officers, directors, employees, and agents from claims, losses, and expenses arising out of your Inputs, your use of the Services, or your breach of these Terms.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERAVEON DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Unless otherwise required by law, the exclusive venue for disputes will be the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

15. Limitation of Liability

15.1 Excluded Damages

To the maximum extent permitted by law, Theraveon and its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenues, lost business opportunities, loss of data, loss of goodwill, service interruption, or procurement of substitute services, arising out of or relating to these Terms or the Services.

15.2 Aggregate Liability Cap

To the maximum extent permitted by law, Theraveon's total aggregate liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amount you paid to Theraveon for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

15.3 Scope of Limitations

The limitations in this Section 15 apply regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, statutory duty, or otherwise, and even if a limited remedy fails of its essential purpose.

15.4 Foreseeability

The limitations in this Section 15 apply even if Theraveon has been advised of, knew of, or should have known of the possibility of such damages.

15.5 Non-Excludable Rights

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. If applicable law does not allow one or more of the limitations in this Section 15, those limitations will apply only to the maximum extent permitted by law.

16. Dispute Resolution by Binding Arbitration

16.1 Informal Resolution First

Before starting arbitration, either party must provide written notice of the dispute and attempt to resolve it informally for at least 30 days. Notices to Theraveon should be sent to hi@voice-platform.co with sufficient detail to identify the account and describe the claim.

16.2 Agreement to Arbitrate

Except for claims expressly excluded below, you and Theraveon agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be finally resolved by binding arbitration on an individual basis.

16.3 Arbitration Rules and Administrator

Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules, including consumer rules where required by law. If AAA is unavailable, the parties will select an alternative administrator that provides comparable procedures.

16.4 Federal Arbitration Act

This arbitration agreement is governed by the Federal Arbitration Act ("FAA"). The arbitrator, and not a court, will decide issues of arbitrability except where prohibited by law.

16.5 Individual Proceedings Only

Arbitration may proceed only on an individual basis. You and Theraveon waive any right to participate in class actions, collective actions, private attorney general actions, or representative proceedings.

16.6 Jury Trial Waiver

To the extent any claim proceeds in court, you and Theraveon knowingly and voluntarily waive any right to a trial by jury for disputes covered by this section.

16.7 Exceptions to Arbitration

Nothing in this section prevents either party from:

  • bringing an individual claim in small claims court if it qualifies;
  • seeking temporary or preliminary injunctive relief in court to prevent actual or threatened misuse of intellectual property or unauthorized access to systems or data.

16.8 Arbitration Location and Format

Unless the parties agree otherwise, arbitration will be conducted remotely. If an in-person hearing is required, it will take place in California unless applicable law requires another venue.

16.9 Arbitrator Authority and Relief

The arbitrator may award the same individualized damages and relief available in court under applicable law, but only to the extent necessary to resolve the individual claim. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

16.10 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hi@voice-platform.co with the subject line "Arbitration Opt-Out" and identifying information sufficient to locate your account. If you opt out, this Section 16 will not apply to you.

16.11 Severability

If any part of this Section 16 is found unenforceable, that portion will be severed, and the remainder will remain in effect, except that if the class-action waiver in Section 16.5 is found unenforceable for a particular claim, then that claim must proceed in court and not in arbitration.

17. General Terms

17.1 Changes to Terms

We may revise these Terms from time to time. Updated Terms become effective when posted unless a later date is specified. By continuing to use the Services after the effective date, you agree to the updated Terms.

17.2 Entire Agreement

These Terms are the entire agreement between you and Theraveon regarding the Services and supersede all prior or contemporaneous agreements, proposals, and representations concerning the same subject matter.

17.3 Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

17.4 No Waiver

A party's failure to enforce any provision of these Terms will not constitute a waiver of future enforcement of that or any other provision.

17.5 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without Theraveon's prior written consent. Theraveon may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
